General Terms and Conditions

Professional training and IT consulting services · Version of 5 October 2026

Article 1: General provisions

These General Terms and Conditions of Sale (the “GTC”) apply to all orders placed with Crescera Solutions (the “Company”). These GTC are supplemented by internal rules provided in Appendix 1, which apply strictly to every service delivered on the Company’s premises.

Any specific terms agreed in writing with the Client (offer, quotation or contract) shall prevail over these GTC in the event of any conflict.

Article 2: Training arrangements

The Company freely chooses its teaching methods and tools. The duration of each training course is specified on the website and in the documents provided. The specific arrangements chosen by the Client are clearly set out in the quotation.

Training may therefore take place in person on the Company’s premises, at the Client’s premises, remotely or through e-learning. Depending on the option selected, workshops led by a qualified instructor may be offered.

The Company accepts no liability for errors in the documentation, which is provided solely as a learning aid. Consequently, it is under no obligation to update this documentation after the session. Finally, the Company reserves the right to amend its programmes every six months.

Article 3: Registration

Registration becomes final as soon as the Company receives acceptance of the offer by email or by post. Each registration constitutes a separate and independent contract. Entering into such a contract implies unreserved acceptance of these GTC.

Registration is personal and may not be transferred without prior written agreement. The Client shall provide the list of participants, which will be considered final.

Any request to amend this list must be submitted at least 5 working days before the training and may only be made with the express agreement of the Company. Final acceptance of registration is given in writing. The Company may entrust all or part of the performance of the services to qualified external trainers or partners of its choice. The Company remains solely responsible to the Client for the proper performance of the services.

Article 4: E-learning modules

Training may include access to one or more e-learning modules via a dedicated platform. The login credentials provided to the Client are strictly personal. Access to the content is activated within 72 working hours of receipt of the order.

Access is limited to a set period of 30 to 180 days, depending on the package selected. During this period, access is available 24/7, except during maintenance. In the event of a malfunction, the Client must inform the Company within 48 hours.

The Company undertakes to fix any technical problem within 48 working hours. If the problem persists, access to the modules will be extended. The Client will always be informed of maintenance operations within a reasonable time.

Article 5: Prices and payment terms

Services are invoiced at the prices in force at the time of the order. The price list is available on the Company’s website and all prices are stated in euros, excluding VAT. The Company reserves the right to change these prices at any time.

Invoices are issued upon order and are payable immediately, before the start of the training. Payment may be made by bank transfer only. Late payment will incur penalties based on the statutory interest rate in Luxembourg.

Consequently, any training that has started is deemed to be due in full. Even in the event of refusal or failure to respond, the Client remains liable for the full amount invoiced.

Article 6: Training funds

If the Client seeks funding from a training fund, it must inform the Company at the time of ordering and provide valid proof of financial coverage.

Article 7: Cancellation and postponement

Scheduled public sessions: Registration may be cancelled free of charge if written notice is sent more than 15 working days before the course. If the request is made 9 working days or less before the course, the Company will invoice 50% of the price. In the event of cancellation within 5 days, the full price will be due.

However, a participant may be replaced by another person free of charge upon prior written notice.

Private sessions and tailored programmes: Any request for postponement or cancellation must be notified in writing. One postponement per session is accepted free of charge if notified more than 15 working days before the scheduled date, subject to the trainer’s availability. Beyond this, or in the event of cancellation, the Company will invoice compensation calculated on the price of the session concerned:

  • more than one month before the session: 40%;
  • between one month and 15 working days before: 60%;
  • less than 15 working days before: 80%;
  • less than 48 hours before or during the session: 100%.

A participant may be replaced free of charge upon written notice given at least 5 working days before the session.

E-learning modules: In all cases, once access to the digital content has been activated, no cancellation or refund request will be accepted.

Postponement by the Company: If the trainer is unavailable (illness, accident or any other unforeseen impediment), the Company will inform the Client as soon as it becomes aware of it, and at the latest on the day of the session. The session will be postponed to a mutually agreed date at no additional cost to the Client. In the event of prolonged unavailability, the Company may propose a trainer with equivalent expertise. Such postponement shall not give rise to any compensation in favour of the Client.

Article 7a: Force majeure

Neither party shall be held liable for any failure to perform its obligations resulting from a case of force majeure within the meaning of Luxembourg law, including in particular: natural disaster, fire, epidemic, strike, major failure of telecommunication networks, decision of the authorities, or serious illness or accident of the trainer. The party concerned shall inform the other party as soon as possible. The sessions concerned will be postponed to a mutually agreed date, at no cost to either party. If the impediment lasts more than three months, either party may terminate the service concerned in writing, without compensation; sessions already delivered remain payable.

Article 8: Administrative documents

The Company provides supporting documents to the Client only, unless the Client specifically requests otherwise. The Company cannot be held responsible for the non-receipt of a notice to attend, particularly in the event of the participant’s absence.

Article 9: Communication

Official communications to the Company shall be sent either:

  • by email: info@crescerasolutions.com
  • by registered letter with acknowledgement of receipt: Crescera Solutions – 50, route d’Esch, L-1470 Luxembourg.

The only official languages of communication accepted are French and English.

These GTC are available in French and English. In the event of any discrepancy, the French version shall prevail.

Article 10: Internal rules

The Client shall ensure strict compliance with the Company’s internal rules for any training held on its premises. Where training takes place at the Client’s premises, the Client’s own internal rules shall apply.

Article 11: Processing of personal data

In the course of its services, the Company processes personal data. In this respect, the Company acts as data controller in accordance with the GDPR and applicable Luxembourg legislation. Clients expressly consent to the processing of their data for the performance of the services, administrative follow-up, invoicing and the sending of newsletters.

The data collected may be shared with subcontractors where necessary. The Company ensures that its partners use this information in compliance with the law. The data is processed confidentially and hosted within the European Union by Microsoft.

This information is kept only for as long as necessary. The Client has the right to access, rectify, erase and port its data. These rights may be exercised at any time by email.

Article 12: Non-solicitation

Unless agreed in advance and in writing, the Client undertakes, for a period of 24 months, not to recruit any employee, trainer or consultant of the Company, or of its partners and subcontractors, who has taken part in the performance of the services, whether directly or through another company. In the event of breach, the Client undertakes to pay a lump-sum indemnity equal to the gross annual remuneration of the person concerned. This penalty is due without prejudice to any other rights of the Company.

Article 13: Intellectual property

All content and training materials used remain the exclusive property of the Company and/or its partners. They are protected by copyright and may not be reproduced under any circumstances without written authorisation. The Client undertakes to use the materials for its internal needs only.

Consequently, no intellectual property rights are transferred to the Client. Any infringement may give rise to legal proceedings. Furthermore, remote transmission of these materials is prohibited and may result in immediate suspension of access.

Materials are provided to participants in a non-editable digital format, for personal and internal use. The provision of source or editable files is subject to a specific written agreement.

Article 14: Use of cookies

The Company uses cookies for authentication and for the technical performance of its website. These text files collect browsing information in order to personalise the services. If the Client does not wish to accept them, it may configure its device to delete them. By continuing without changing its settings, the Client accepts their use.

The website uses three types of cookies: authentication cookies, strictly necessary cookies and third-party cookies. The Client may refuse cookies via its settings. However, deleting all cookies may affect access to certain services and reduce the overall performance of the website.

Article 15: Disputes and jurisdiction

These GTC are governed exclusively by Luxembourg law. Any dispute relating to their performance shall be submitted exclusively to the courts of the Grand Duchy of Luxembourg.
